1. Acceptance of Terms

By accessing or using the services provided by Voiping ("we," "us," or "our") through voip.ing and its associated platforms, you ("Customer," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use our services.

These Terms constitute a legally binding agreement between you and Voiping. By creating an account, placing an order, or otherwise using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and Acceptable Use Policy, which are incorporated herein by reference.

2. Service Description

Voiping provides enterprise communications services, including but not limited to:

  • SMS Services: Bulk SMS campaigns, two-way messaging, dedicated SMS numbers (long codes, short codes, toll-free), alphanumeric sender ID registration, and OTP verification API.
  • Voice Services: SIP trunking with A-Z termination, individual SIP accounts, DID (Direct Inward Dialing) numbers in 50+ countries, virtual cloud PBX systems, and number porting (Bring Your Own Number).
  • Cloud Solutions: Hosted call center platforms, enterprise cloud VoIP infrastructure, and managed communication platforms.
  • API Access: RESTful APIs for programmable SMS, voice, and verification services, including SDKs, webhooks, and sandbox environments.

Service availability, features, and pricing are subject to change. We will provide reasonable notice of material changes to services you are actively using.

3. Account Registration and Eligibility

To use our services, you must create an account and provide accurate, complete, and current information. You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.

You are responsible for:

  • Maintaining the confidentiality of your account credentials, including API keys and authentication tokens.
  • All activities that occur under your account, whether authorized or unauthorized.
  • Promptly notifying us of any unauthorized use of your account or any security breach.
  • Ensuring that all users with access to your account comply with these Terms.

We reserve the right to refuse service, terminate accounts, or decline orders at our sole discretion, particularly if we suspect fraudulent, abusive, or illegal activity.

4. Acceptable Use

Your use of our services is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. You agree not to use our services for any purpose that is unlawful, harmful, or prohibited by our policies.

Without limiting the foregoing, you specifically agree not to:

  • Send unsolicited messages (spam) or messages without proper recipient consent.
  • Engage in caller ID spoofing, toll fraud, or traffic pumping.
  • Use our services to distribute malware, conduct phishing attacks, or facilitate fraud.
  • Violate any applicable telecommunications regulations, including TCPA, GDPR, and local messaging laws.
  • Exceed fair use limits or engage in activities that degrade service quality for other customers.

5. Billing, Payment, and Credits

Services are billed according to the pricing published on our website or as agreed in your service contract. We offer the following billing models:

  • Usage-Based: Per-message (SMS) or per-minute (voice) billing, charged against prepaid credits or invoiced monthly.
  • Subscription: Monthly or annual fees for SIP accounts, DID numbers, cloud PBX, and hosted solutions.
  • Credit Packages: Prepaid credit bundles for SMS and voice services at volume discounts.

All prices are exclusive of applicable taxes unless stated otherwise. Payment is due within 14 days of invoice date, or immediately for prepaid services. We accept payment via bank transfer, credit card, and PayPal.

Failure to pay invoices on time may result in service suspension. Accounts suspended for non-payment will incur a reactivation fee. We reserve the right to charge interest on overdue amounts at a rate of 1.5% per month.

Prepaid credits are non-refundable and expire 12 months after purchase unless otherwise specified. Unused subscription periods are non-refundable upon cancellation.

6. Service Level Agreement

We commit to maintaining a platform uptime of 99.9% for our core services (SMS gateway, SIP trunking, API endpoints), measured monthly, excluding scheduled maintenance windows.

If we fail to meet this uptime target, eligible customers may request a service credit:

  • 99.0% - 99.9%: 10% credit of monthly fees for the affected service.
  • 95.0% - 99.0%: 25% credit of monthly fees for the affected service.
  • Below 95.0%: 50% credit of monthly fees for the affected service.

Service credits must be requested within 30 days of the incident. Credits are applied to future invoices and do not exceed 50% of the monthly fee for the affected service. This SLA does not apply to issues caused by factors outside our reasonable control, including network outages, carrier failures, or force majeure events.

7. Intellectual Property

All intellectual property rights in our platform, services, documentation, APIs, SDKs, and associated materials remain the exclusive property of Voiping. You are granted a limited, non-exclusive, non-transferable license to use our services in accordance with these Terms.

You retain all rights to your content, data, and communications transmitted through our services. By using our services, you grant us a limited license to process, store, and transmit your data solely for the purpose of providing the services.

8. Data Protection and Privacy

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the EU General Data Protection Regulation (GDPR).

Where we process personal data on your behalf (as a data processor), we will enter into a Data Processing Agreement upon request, detailing the scope, nature, and purpose of processing, as well as the obligations of both parties.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Our total aggregate liability for any claims arising out of or related to these Terms or your use of our services shall not exceed the total fees paid by you to us during the twelve (12) months preceding the event giving rise to the claim.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities.
  • We shall not be liable for any failure to deliver messages or calls caused by recipient carrier filtering, network congestion, regulatory blocking, or recipient device issues.
  • We shall not be liable for any damages arising from your failure to comply with these Terms, the Acceptable Use Policy, or applicable laws.

10. Termination and Suspension

Either party may terminate these Terms with 30 days' written notice. We may suspend or terminate your account immediately, without prior notice, if:

  • You breach these Terms or the Acceptable Use Policy.
  • Your use of our services poses a security risk or may adversely affect other customers.
  • You fail to pay outstanding invoices after receiving a reminder.
  • We are required to do so by law, regulation, or a governmental order.

Upon termination, your access to the services will cease. We will retain your data for 30 days following termination, during which you may request an export. After this period, your data will be permanently deleted in accordance with our data retention policies.

11. Indemnification

You agree to indemnify, defend, and hold harmless Voiping, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of our services in violation of these Terms.
  • Your violation of any applicable law, regulation, or third-party right.
  • The content of any messages or calls transmitted through our services.
  • Any dispute between you and a third party related to our services.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the European Union and the laws of the jurisdiction in which Voiping is established, without regard to conflict of law principles.

Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If a dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to the competent courts of Voiping's jurisdiction of establishment.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to you via email or through a prominent notice on our website at least 30 days before they take effect.

Your continued use of our services after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree with the changes, you must stop using our services and close your account before the effective date.
